Terms of Service

1. Agreement to Terms

Welcome to hourvibes ("Platform"), operated by our company ("Company," "we," "us," or "our"). By accessing or using the Platform, including our website and any associated mobile applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

You must be at least 18 years old to create an account or use the Platform.

2. Description of Service

hourvibes is a marketplace platform that connects users ("Clients") with verified independent service providers ("Companions") for facilitated social experiences and activity-based outings. These activities include, but are not limited to, coffee outings, dining, museum visits, hiking, city walks, beach outings, and other social activities.

hourvibes is not a dating service. The Platform does not facilitate romantic connections, matchmaking, or dating of any kind. The Platform exists solely to connect individuals for platonic, activity-based social experiences.

Companions are independent service providers and are not employees, agents, or contractors of hourvibes. The Platform facilitates connections and processes payments but does not control, direct, or supervise the conduct of Companions or Clients during sessions.

3. Platform Rules and Conduct

All users of the Platform, whether Clients or Companions, agree to the following rules of conduct:

3.1 Public Venue Requirement

All sessions facilitated through hourvibes must take place in public venues. Public venues include but are not limited to restaurants, coffee shops, parks, museums, trails, beaches, and other locations open to the general public. Sessions may not take place in private residences, hotel rooms, or any other private setting.

3.2 Platonic Interactions Only

All interactions facilitated through the Platform are strictly platonic. Users may not use the Platform to solicit, offer, or engage in romantic or sexual contact of any kind. Any user who violates this policy will be permanently banned from the Platform and may be reported to law enforcement where applicable.

3.3 Prohibited Uses

You may not use the Platform for any of the following purposes:

• Soliciting or offering sexual services, escort services, or any form of intimate companionship.
• Soliciting or offering romantic dates or matchmaking services.
• Harassment, intimidation, threats, or any behavior that makes another user feel unsafe.
• Discriminating against other users on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Misrepresenting your identity, age, location, or any other personal information.
• Using the Platform while impaired by drugs or alcohol to a degree that compromises safety.
• Any activity that violates local, state, or federal law.

3.4 Right to Decline

Companions may decline any session request for any reason and are never obligated to accept a booking. Clients may cancel any session in accordance with our cancellation policy. Neither party is obligated to continue a session if they feel uncomfortable or unsafe at any point.

4. Accounts and Verification

To use the Platform, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Companions are subject to a verification process before being listed on the Platform. This process may include identity verification, photo review, and other screening measures at our discretion. Verification does not constitute an endorsement, guarantee of safety, or background check. Clients are encouraged to exercise their own judgment when booking sessions.

5. Payments and Fees

Clients pay session fees through the Platform at the time of booking. Session fees are determined by the Companion and are listed on their profile as a per-session rate. hourvibes collects a service fee from each transaction to operate and maintain the Platform.

All payments are processed by our third-party payment processor, Stripe. By using the Platform, you agree to Stripe's terms of service. hourvibes does not store your payment card information.

Session fees are for the facilitation of a social experience and activity-based outing. Session fees do not constitute payment for a Companion's personal time, companionship, or presence independent of an activity.

6. Cancellation and Refund Policy

Clients may cancel a confirmed session up to 24 hours before the scheduled start time for a full refund. Cancellations made less than 24 hours before the scheduled start time may be subject to a cancellation fee at our discretion.

If a Companion cancels a confirmed session, the Client will receive a full refund. Repeated cancellations by a Companion may result in reduced visibility on the Platform or account suspension.

If a session does not occur due to a dispute between parties, hourvibes will review the circumstances and issue refunds at its sole discretion.

7. Safety and Liability

hourvibes takes user safety seriously but cannot guarantee the conduct of any user on or off the Platform. You acknowledge and agree that:

• You use the Platform and attend sessions at your own risk.
• hourvibes is not responsible for the actions, behavior, or conduct of any Client or Companion before, during, or after a session.
• hourvibes does not perform comprehensive background checks on Companions or Clients, and verification should not be interpreted as a safety guarantee.
• You are responsible for your own personal safety and should take reasonable precautions, including informing a trusted contact of your plans and meeting only in public venues.

We encourage all users to report any safety concerns, policy violations, or inappropriate behavior through our in-app reporting system or by contacting support@hourvibes.com.

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, and software, is the property of hourvibes or its content suppliers and is protected by United States and international intellectual property laws.

By posting content on the Platform (including profile photos, bios, and reviews), you grant hourvibes a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.

9. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent or illegal activity, or conduct that we determine to be harmful to other users or the Platform.

Upon termination, your right to use the Platform ceases immediately. Any pending payouts owed to a Companion at the time of termination will be processed in accordance with our standard payout schedule unless the termination is related to fraudulent activity, in which case payouts may be withheld pending investigation.

11. Disclaimers

The Platform is provided on an "as is" and "as available" basis. hourvibes makes no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. hourvibes does not warrant that the Platform will be uninterrupted, error-free, or secure. We do not guarantee the quality, safety, or legality of any session, the truth or accuracy of any listing or profile, or the ability of any Companion to provide a satisfactory experience.

12. Limitation of Liability

To the maximum extent permitted by law, hourvibes and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. In no event shall hourvibes's total liability to you for all claims exceed the amount you have paid to hourvibes in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless hourvibes and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your conduct during any session facilitated through the Platform.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. Arbitration shall take place in the State of California. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

16. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Effective Date" at the top of this document. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
